Its because Rare was bought by Microsoft, who currently is one of Nintendo's two rivals in the console wars. Not to mention
Banjo Kazooie, and I think
Banjo-Tooie as well, was already released on Xbox Live Arcade, only edited slightly to remove references to Nintendo and their franchises, such as
Mario &
Donkey Kong.
Nintendo does release some of Rare's games for the VC, but only the
Donkey Kong Country/
64 &
Diddy Kong Racing ones, since they own the
Donkey Kong series. Funnily enough, Rare and Nintendo co-own the code and rights to
Goldeneye for the Nintendo 64, except for the characters used in it, and both companies want to re-release the game on their respective online game services, but can't unless they come to an agreement.
